C3062 - Company Law – Part 2: Types of companies, share capital and financing
Target audience
Entrepreneurs, lawyers, jurists and professionals employed by law firms, trust companies and other financial service providers (FSPs) as well as, more generally, anyone wishing to familiarise themselves with the rules and practices governing the operation of companies within the Luxembourg legal framework.
Objectives
- Gaining a thorough understanding of the characteristics of the various types of companies provided for in the Law of 10 August 1915 on commercial companies (capital companies and partnerships) and to be able to navigate the choice of a legal structure in accordance with the legal and financial requirements of the targeted commercial project ;
- Understanding the various forms of corporate financing through equity, such as capital contributions (in cash, in kind or in the form of business assets), share premiums and contributions without the issuance of shares representing the share capital, as well as through debt (credit and loan agreements; bonds and CPECs);
- Understanding the main techniques for managing private equity (authorised capital and the repurchase of redeemable shares) and for structuring share capital (share classes, tracking shares);
- Analysing and structuring the terms of shareholders’ agreements in line with companies’ objectives (private equity, joint ventures, commercial enterprises);
- Understanding how branches operate within the European Single Market;
- Gaining an overview of mergers and, more generally, corporate restructuring;
- Acquiring familiarity with the procedures for the reorganisation of companies in difficulty and bankruptcy; and
- Understanding the main civil, criminal and administrative rules relating to directors’ liability.
Prerequisites
None. However, it is recommended to have completed the course « Company Law – Part 1: Formation and Operation of SA, SARL and SARL-S » (C3061) prior to enrolling in this course, or to provide proof of equivalent certified knowledge.
