C3063 - Company Law – Part 3: ESG and Contemporary Challenges for Business Lawyers

Target audience

Entrepreneurs, lawyers and legal professionals employed by trust companies and other financial services providers (FSPs), or anyone wishing to better understand the impact of their decisions and the associated responsibilities, as well as compliance, legal, financial or corporate social responsibility (CSR) managers involved in governance, and advisory and audit professionals (lawyers, auditors, auditors) interested in cross-cutting issues, or executives and members of corporate bodies.

Objectives

  • Linking companies’ decisions and actions to their legal, economic and societal implications throughout its life cycle (constitution, development, day-to-day operations, adaptation/crisis, tax transparency);
  • Understanding and integrating the CSR and ESG principles (“Environmental, Social, Governance”) in light of current legislation, particularly concerning directors’ liability, the scope of compliance obligations and the role of shareholders in social dynamics.
  • Putting governance functions, risk management and compliance mechanisms into perspective to promote informed and sustainable decision-making, compliance and informed decisions that take into account economic, legal and CSR considerations.
  • Understanding the transparency obligations under the law of 25 March 2020 on reportable cross-border arrangements (transposing the “DAC6” Directive) and learning how to apply its rules and hallmarks set out therein.
  • Identifying the issues relating to the ownership, management, protection and transfer (both domestic and cross-border) of intellectual property as a strategic corporate asset.
  • Understanding the main legal obligations applicable to relations with consumers in the context of ‘Business-to-Consumer’ (B2C) activities.
  • Learning about the rights and responsibilities associated with restructuring operations following the entry into force of the law of 17 February 2025 (transposing the “Mobility” Directive).
  • Applying the concepts studied through practical case studies and cross-cutting analyses, to assess the impact of decisions on the company, its stakeholders and its sustainable performance.

Prerequisites

None. However, it is recommended to have completed the courses « Company Law – Part 1: Formation and Operation of SA, SARL and SARL-S » (C3061), « Company Law – Part 2: Types of companies, share capital and financing » (C3062) and « La lutte contre le blanchiment d’argent et contre le financement du terrorisme » (C2033) prior to enrolling in this course, or to provide proof of equivalent certified knowledge.
