C3061 - Company Law – Part 1: Formation and Operation of SA, SARL and SARL-S
Target audience
Entrepreneurs, lawyers, jurists, and professionals employed by law firms, trust companies, and other financial service providers (FSPs), as well as, more generally, anyone wishing to familiarise themselves with the rules and practices governing the operation of companies within the Luxembourg legal framework.
Objectives
- Understanding the characteristics of commercial companies and the advantages of public limited companies (SA), private limited companies (SARL) and simplified private limited companies (SARL-S);
- Acquiring familiarity with the administrative procedures relating to authorisation to establish a business;
- Learning how to complete the filing and publication formalities with the Trade and Companies Register (RCS);
- Learning how to identify the beneficial owner and complete the formalities with the Register of Beneficial Owners (RBE);
- Mastering the main steps of the incorporation of SAs, SARLs and SARL-S;
- Describing and distinguishing between the regimes applicable to shares, partnership interests and obligations, as well as their legal and practical implications;
- Acquiring familiarity with the rules relating to the organisation, functioning and decision-making of management bodies and general meetings;
- Understanding the appointment, the structuring, powers, delegation of powers and liability of the corporate bodies that make up the company’s governance structure and control across the various types of company;
- Understanding the rules governing the approval of annual accounts, the publication of financial statements and distributions to shareholders (dividends and share redemptions); and
- Understanding the rules and formalities applicable to the voluntary liquidation of commercial companies.
